WIVOR Photographer Terms, Content License and Independent Contractor Agreement Terms for photographers and content creators using WiVor Effective date: September 8, 2026 | Version: 1.0 | WiVor entity: WiVor Photos LLC AGREEMENT These Photographer Terms, Content License and Independent Contractor Agreement (the "Photographer Terms") form a binding agreement between WiVor Photos LLC ("WiVor," "we," "us," or "our") and the individual or entity registering as a photographer, videographer, content creator, event organizer, or photography business ("Photographer," "you," or "your"). "Services" means WiVor's websites, applications, marketplace, event tools, facial-search features, hosting, payment, delivery, support, and related services. "Content" means photographs, videos, previews, metadata, captions, and other materials you upload or provide. By checking the acceptance box, creating a Photographer Account, accepting an event confirmation or assignment, or uploading Content, you agree to these Photographer Terms, the Privacy Policy, applicable fee disclosures, and any event-specific terms presented to you. If you accept for a company or team, you represent that you have authority to bind that entity and that all personnel using the account will comply. If you do not agree, do not create or use a Photographer Account. 1. Eligibility, account and verification 1.1 Eligibility. You must be at least 18, legally able to enter into this agreement, legally able to provide the services you undertake, and responsible for complying with applicable business, tax, licensing, and other legal requirements. Providing a tax identification number does not by itself establish eligibility or authorization to work. WiVor may approve, reject, suspend, or require additional review of an application in its reasonable discretion. 1.2 Accurate information. You must provide and maintain accurate identity, contact, tax, banking, business, portfolio, and event information. You authorize WiVor and its providers to conduct identity, fraud, sanctions, payment, and credential checks reasonably required to operate the Services. 1.3 Account security. Your account is personal to you or your approved business and may not be sold, transferred, shared publicly, or used by an undisclosed third party. You are responsible for credentials, authorized team members, and activity under the account and must promptly report unauthorized use. 1.4 Teams. If assistants or subcontractors work under your account, you remain responsible for them, must have written agreements sufficient to grant the rights in these Photographer Terms, and must ensure their lawful classification, payment, insurance, and conduct. 2. Platform role and no promise of business 2.1 Platform. WiVor provides the Services, including technology for event creation, Content hosting and indexing, facial search, previews, sales, payment processing, delivery, customer support, and related marketplace functions. Features may change and may depend on third-party providers. 2.2 No guarantee. WiVor does not guarantee approval, event access, assignments, traffic, search results, sales, revenue, rankings, placement, availability, or any minimum payout. Opportunities are invitations, not employment offers. 2.3 Transaction roles. WiVor provides the marketplace and may facilitate payment and delivery. The checkout page and applicable customer-facing policies will identify the seller or merchant of record for the transaction. Nothing in these Photographer Terms limits rights that cannot be waived under applicable consumer law. 3. Photographer-created events 3.1 Authority for Photographer-created events. If you create or list an event on WiVor independently, you must have the permissions reasonably required from the organizer, venue, property owner, sanctioning body, league, school, employer, or other controlling party. For an event offered or assigned by WiVor, WiVor is responsible for obtaining the organizer-level authorization it has agreed to obtain, while you remain responsible for following the event rules and any photographer-specific requirements disclosed to you. 3.2 Event information. For an event you create or list, you are responsible for providing accurate event details and restrictions. You may describe only relationships or permissions that actually exist and may not falsely claim sponsorship, exclusivity, endorsement, accreditation, or official status. 3.3 Competing claims. WiVor may pause or remove an event, Content, or payouts while investigating competing ownership, organizer, credential, privacy, safety, or legal claims. WiVor need not adjudicate private disputes and may require documentary proof. 4. Events offered or assigned by WiVor 4.1 Acceptance. An event opportunity becomes binding only when you accept the event confirmation, assignment, or other event-specific terms presented by WiVor. That confirmation may state the schedule, location, deliverables, coverage zones, credentials, customer price, commission, minimum standards, deadlines, event-specific exclusivity, and organizer rules. A separate document is not required if these terms are clearly presented and accepted electronically. 4.2 Performance. After accepting an event, you will provide the agreed coverage professionally, safely, and punctually and will follow the disclosed organizer, venue, credential, privacy, and safety rules. You must promptly notify WiVor of a conflict, delay, inability to attend, safety incident, or loss of credentials. 4.3 No authority. Unless expressly authorized in writing, you may not make commitments, refunds, warranties, public statements, sponsorship promises, or contractual representations on behalf of WiVor. 5. Independent contractor relationship 5.1 Independent business. You operate an independent business and control your equipment, technique, creative decisions, work methods, personnel, schedule (subject to accepted event requirements), and expenses. You may work for others and use other platforms. 5.2 No employment or agency. Nothing creates employment, partnership, joint venture, franchise, fiduciary, agency, or authority to bind WiVor. You are not eligible for wages, overtime, unemployment, workers’ compensation through WiVor, benefits, paid leave, retirement benefits, or expense reimbursement unless an Event Addendum expressly states otherwise. 5.3 Compliance. You are responsible for business registrations, permits, taxes, labor obligations, immigration/work authorization, insurance, assistants, equipment, travel, and legal compliance. The contractual label does not override any worker-classification law that mandatorily applies. 6. Content ownership and license to WiVor 6.1 Ownership. As between you and WiVor, you retain copyright in original photographs and videos you lawfully create, subject to third-party rights and any separate assignment. WiVor owns its platform, software, interfaces, trademarks, data structures, and technology. 6.2 License. You grant WiVor a worldwide, non-exclusive, royalty-free, sublicensable to service providers and customers, transferable with the Services, license to host, store, reproduce, convert, compress, crop, resize, watermark, create thumbnails and previews from, index, analyze, display, distribute, market, sell access to, deliver, and otherwise process Content as reasonably necessary to operate, secure, improve, support, and promote the Services and fulfill transactions. 6.3 Duration. The license continues while Content is offered or needed for pending transactions, support, legal compliance, fraud prevention, backup cycles, and claims. For purchased Content, WiVor may retain and redeliver the purchased file and transaction evidence. Marketing use outside the event listing or Photographer profile requires the permissions described in Section 15. 6.4 Customer license. You authorize WiVor to grant a purchaser the personal-use license stated at checkout. No copyright transfer occurs unless expressly stated. Commercial licensing, prints, products, or expanded uses may be subject to additional terms. 7. Facial search and automated processing 7.1 Processing authorization. You authorize WiVor and contracted providers to analyze uploaded Content, detect faces and other visual features, generate search indexes or mathematical representations, compare an authorized customer selfie against Content, and return likely matches for the customer-requested search. 7.2 No ownership transfer. Automated processing does not transfer your copyright. Search results may contain false positives or missed matches, and WiVor does not guarantee identification or sales. 7.3 Photographer responsibilities. You must provide all notices and obtain all permissions assigned to you under applicable event rules and law, and you must not promise that WiVor’s customer consent cures a defect in your authority to capture, upload, or commercialize Content. 7.4 Reserved legal controls. WiVor may block events, locations, users, Content, or facial processing where consent or other legal requirements are not satisfied. Nothing in these Terms represents that a Photographer’s agreement alone constitutes consent from every depicted person under biometric privacy law. 8. Photographer representations and warranties 8.1 Rights. For every upload, you represent that you created and own the Content or possess written rights sufficient for all uses contemplated here; the Content is not stolen, copied, subject to an undisclosed exclusive license, or encumbered by conflicting rights. 8.2 People and publicity. For Photographer-created events, you are responsible for obtaining any permissions legally required for capture, image, likeness, voice, privacy, publicity, commercialization, and minors. For events offered or assigned by WiVor, WiVor is responsible for organizer-level permissions it has expressly agreed to obtain; you remain responsible for permissions arising from your own conduct, separate use of the Content, personnel, or representations. You must follow all event-specific instructions concerning participants and minors. 8.3 Events and property. You complied with event, venue, credential, property, drone, trademark, safety, and access restrictions and did not enter a restricted area or misrepresent your credentials. 8.4 Lawful content. Content and its creation do not violate law, court order, contract, copyright, trademark, privacy, publicity, biometric, child-protection, harassment, anti-discrimination, or other third-party rights. 8.5 Metadata and claims. Captions, tags, event descriptions, pricing statements, authorship, releases, and other information you provide are accurate and not deceptive. 9. Minors and sensitive settings 9.1 Enhanced care. For youth sports, schools, camps, childcare, medical settings, private events, or other sensitive contexts, you must follow organizer instructions and all applicable consent, access, safeguarding, and removal requirements. 9.2 Prohibited uploads. Do not upload exploitative, sexualized, humiliating, intimate, medical, changing-room, bathroom, restricted-school, or other Content involving minors or vulnerable persons where publication or sale is unlawful, unsafe, or inconsistent with the event authorization. 9.3 Removal priority. WiVor may immediately disable sensitive Content while investigating, without waiting for final proof, and may preserve evidence as required by law. 10. Content standards and prohibited conduct 10.1 Standards. You may not upload unlawful, infringing, deceptive, defamatory, obscene, hateful, threatening, exploitative, dangerous, malicious, privacy-invasive, or technically harmful Content. 10.2 Platform misuse. You may not scrape, reverse engineer, bypass security, upload malware, manipulate sales or search, create false accounts or events, misuse personal data, impersonate another person, evade fees, interfere with service, or use Content or facial search to stalk, harass, discriminate, or identify people for an unauthorized purpose. 10.3 Customer diversion. You may communicate honestly about your business, but may not use confidential customer data obtained solely through WiVor to evade fees on a transaction initiated through WiVor. This restriction does not prohibit lawful competition, independent marketing, or pre-existing customer relationships. 11. Pricing, fees and promotions 11.1 Pricing. For Photographer-created events, you may set the price of your Content subject to any disclosed platform requirements. For events offered or assigned by WiVor, the customer price or pricing method will be shown in the event confirmation before you accept. WiVor may provide nonbinding recommendations and promotional tools but does not guarantee demand or sales. 11.2 Platform fees. WiVor will disclose the applicable commission, processing fees, service fees, credits, and other charges before you enroll in an event or publish Content. The rate may vary by event or program and will not be changed retroactively after your acceptance. Unless the disclosure states otherwise, fees are calculated on the gross customer price before Photographer expenses and deducted before payout. 11.3 Promotions. A promotion that changes your net proceeds requires your advance acceptance or must operate under promotional authority you previously enabled. WiVor may fund promotions from its own fee without reducing your agreed net proceeds. 12. Payments, Stripe, reserves and setoff 12.1 Provider. Payment, identity verification, connected accounts, card processing, transfers, and payouts may be provided by Stripe or another provider under its separate terms. You authorize necessary account creation, information sharing, split payments, fee deductions, and compliance holds. 12.2 Payouts. Available proceeds, less disclosed commissions, processing charges, taxes withheld, refunds, disputes, reserves, and other authorized amounts, will be paid according to the schedule displayed in the dashboard or accepted event terms. WiVor will not promise a weekly or fixed payday unless that schedule has been confirmed with the payment provider and disclosed to you. Estimates are not guarantees. 12.3 Holds and reserves. WiVor or the payment provider may delay payouts or establish a reasonable reserve for fraud, chargebacks, refunds, legal claims, identity verification, abnormal activity, or anticipated liabilities. Undisputed funds will be released when the reason for the hold is resolved. 12.4 Setoff and negative balances. You authorize deduction of amounts you owe from current or future proceeds. You remain responsible for negative balances and must pay them upon request, subject to applicable law. 12.5 Banking information. You are responsible for accurate payout instructions. WiVor is not responsible for delay or loss caused by incorrect information, provider action, sanctions screening, banking systems, or circumstances beyond reasonable control. 13. Refunds, disputes and chargebacks 13.1 Cause-based allocation. Responsibility follows the cause. Amounts may be charged to the Photographer when a refund, dispute, or claim arises from lack of rights, misleading event information, duplicate or corrupted files, material quality failure, failure to deliver agreed work, prohibited Content, Photographer fraud, or breach of these Terms. WiVor bears amounts caused solely by its own billing or platform error, except to the extent recovered from a provider. 13.2 Customer remedies. WiVor may issue a refund or credit when reasonably necessary to comply with law, payment-network rules, published customer policies, fraud prevention, or customer support. WiVor will use reasonable information available when allocating responsibility. 13.3 Cooperation. You must promptly provide originals, metadata, releases, event authorization, communications, and other evidence needed to contest a dispute. Failure to cooperate may result in the amount being allocated to you. 14. Taxes and records 14.1 Photographer taxes. You are responsible for taxes, filings, permits, expenses, and records arising from your business and proceeds, except taxes WiVor is legally required to collect, report, withhold, or remit. 14.2 Tax forms. You must provide accurate taxpayer information, including a Form W-9 or applicable substitute. WiVor or its provider may issue Forms 1099 or other reports when required and may withhold or suspend payouts if required information is missing or invalid. 14.3 Sales tax. The checkout flow will identify which party or provider calculates, collects, and remits applicable sales or similar transaction taxes. You will not separately collect an amount already collected through the Services. 15. Profiles, portfolio and marketing 15.1 Profile license. You authorize WiVor to display your business name, approved biography, profile image, portfolio, event participation, and public contact or social links to operate and promote your Photographer profile and event listings. 15.2 Content marketing license. In addition to displaying previews and watermarked Content to market an event and facilitate sales, you authorize WiVor to select, reproduce, crop, resize, watermark, caption, display, and distribute Content through WiVor's websites, applications, social-media accounts (including Instagram), emails, presentations, event recaps, press materials, and paid or organic advertising for the purpose of promoting WiVor, its Services, participating photographers, and covered events. This non-exclusive, worldwide, royalty-free license does not transfer your copyright and does not authorize WiVor to sell the photograph for an unrelated purpose or falsely imply your personal endorsement. You represent that you have the rights and permissions required for these uses under Section 8. WiVor may credit you when reasonably practicable, but credit is not guaranteed. Upon a reasonable written request, WiVor will consider removing future marketing uses where practicable, but removal will not affect materials already published, distributed, or committed to a campaign. 15.3 Truthful advertising. Any testimonial, endorsement, portfolio claim, discount, or sponsorship statement must be truthful, non-deceptive, and disclose material connections when required. 16. Copyright complaints and takedowns 16.1 Copyright complaints. WiVor may remove or disable Content in response to a credible copyright complaint and may restore it when appropriate under applicable law. Copyright notices should be sent to [LEGAL EMAIL]. WiVor may publish additional takedown and counter-notice instructions and, when legally required, designate and register a DMCA agent. 16.2 Repeat infringers. WiVor maintains a policy to terminate, in appropriate circumstances, accounts of repeat copyright infringers. You must not re-upload disabled Content without authorization. 16.3 Other rights complaints. WiVor may also act on credible privacy, publicity, trademark, safety, minor, event, organizer, or court-order complaints and may request releases or other evidence before restoring Content. 16.4 Cooperation. You authorize WiVor to provide your contact and account information when legally required and agree to cooperate in resolving claims. WiVor does not determine ultimate ownership by merely removing or restoring Content. 17. Privacy, data and security 17.1 Personal data. Each party will process personal data only as permitted by these Terms, the Privacy Policy, event agreements, and applicable law. You may use customer information obtained through WiVor only to fulfill and support the relevant transaction or as otherwise lawfully authorized. 17.2 Security. You must use reasonable safeguards, protect account credentials, restrict team access, and promptly notify WiVor of suspected unauthorized access, disclosure, loss, or misuse involving WiVor data. 17.3 No data harvesting. You may not build a separate facial, identity, marketing, or contact database from event participants, customer searches, sales, or platform data unless separately authorized by the person and permitted by law. 18. Equipment, safety and insurance 18.1 Safety. You are responsible for safe equipment, lawful operation, situational awareness, crowd and traffic safety, weather decisions, and compliance with venue and organizer directions. Do not obstruct participants, emergency personnel, officials, or public access. 18.2 Insurance. You must maintain insurance reasonably appropriate to your activities and any coverage specifically disclosed before you accept an event, which may include commercial general liability, equipment, automobile, drone, professional, workers' compensation, or cyber coverage. WiVor may request evidence but does not assume responsibility by reviewing it. Event-specific insurance requirements may appear in the electronic event confirmation and do not require a separate paper addendum. 18.3 Injury and property. You are responsible for injury, death, property damage, fines, or losses caused by your acts, omissions, equipment, personnel, or violation of rules, except to the extent caused by WiVor’s legally established fault. 19. Suspension, removal and termination 19.1 By Photographer. You may close your account subject to pending events, transactions, disputes, balances, legal holds, and obligations that survive. Removing Content does not cancel completed customer licenses or WiVor’s right to support prior purchases. 19.2 By WiVor. WiVor may suspend access, remove Content, withhold affected payouts, or terminate for breach, fraud, safety risk, rights complaints, payment-provider action, legal requirement, repeated customer harm, or material risk to users or the platform. Where reasonable, WiVor will provide notice and an opportunity to respond. 19.3 Preservation. WiVor may preserve Content and records required for transactions, tax, fraud, security, claims, litigation holds, and legal compliance. Sections concerning rights, payments, taxes, restrictions, indemnification, liability, disputes, and general provisions survive termination. 20. Disclaimers 20.1 As available. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WIVOR DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY OF SALES, REVENUE, SEARCH ACCURACY, UPTIME, DATA PRESERVATION, OR EVENT ACCESS. 20.2 Third parties. WiVor is not responsible for independent organizers, venues, customers, photographers, payment providers, cloud providers, networks, or other third parties, except for obligations that cannot lawfully be disclaimed. 20.3 Limited storage purpose. WiVor is not an archival or general file-storage service. You must retain original Content and business records. Upload only Content intended for authorized event publication, discovery, marketing, or sale through the Services. WiVor may remove unrelated files or Content that is no longer offered, subject to pending transactions, support, legal obligations, and applicable retention policies. 21. Limitation of liability 21.1 Excluded damages. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WIVOR NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR PROVIDERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITIES; OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. 21.2 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, WIVOR’S AGGREGATE LIABILITY ARISING FROM THESE TERMS WILL NOT EXCEED THE GREATER OF (A) FEES RETAINED BY WIVOR FROM YOUR SALES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) [USD $100/$500 - COUNSEL TO SELECT]. 21.3 Exceptions. The exclusions and cap do not apply where prohibited by law. Counsel should align exceptions with governing law, gross negligence, willful misconduct, confidentiality, data, intellectual property, indemnity, and payment obligations. 22. Indemnification 22.1 Photographer indemnity. You will defend, indemnify, and hold harmless WiVor, its affiliates, officers, employees, agents, and providers from third-party claims, losses, judgments, penalties, liabilities, and reasonable attorneys’ fees arising from: your Content or capture; infringement or privacy, publicity, biometric, minor, event, venue, property, or credential claims; your personnel, equipment, injury, or property damage; taxes or worker classification under your control; fraud; or breach of these Terms. 22.2 Procedure. WiVor will provide reasonably prompt notice, may control the defense with counsel of its choice, and may require cooperation. You may not settle a claim admitting wrongdoing by or imposing obligations on WiVor without written consent. Failure of prompt notice reduces obligations only to the extent materially prejudicial. 22.3 Proportionate responsibility. Indemnity will not apply to the extent a final determination attributes the claim solely to WiVor’s gross negligence, willful misconduct, or independent breach, subject to applicable law. 23. Confidentiality 23.1 Confidential information. Nonpublic event opportunities, credentials, access codes, customer data, security information, pricing arrangements, product plans, and business information identified or reasonably understood as confidential must be protected and used only for the permitted relationship. 23.2 Exceptions. Confidentiality does not cover information lawfully public, already known without restriction, independently developed, or lawfully received from another source. Required disclosure is permitted after notice when legally allowed. 23.3 Announcements. Do not announce an embargoed event, assignment, partnership, sponsor, or customer relationship before authorized. 24. Disputes and governing law 24.1 Informal resolution. Before filing a claim, the parties will provide written notice describing the dispute and attempt good-faith resolution for 30 days, except for urgent injunctive relief or claims that legally cannot be delayed. 24.2 Governing law and forum. These Terms are governed by the laws of [STATE], without regard to conflict rules. Subject to any valid arbitration clause, exclusive venue will be in state or federal courts located in [COUNTY, STATE]. 24.3 Arbitration and class waiver. [COUNSEL OPTION: Insert a conspicuous mutual arbitration agreement, opt-out procedure, small-claims exception, delegation language, mass-arbitration protocol, and class/representative-action waiver appropriate to the launch states. Do not publish this placeholder.] 25. General provisions 25.1 Changes. WiVor may update these Terms prospectively. Material changes will be communicated by reasonable electronic notice and will take effect on the stated date. If renewed consent is legally required, continued use alone will not substitute for it. 25.2 Assignment. You may not assign these Terms without WiVor’s written consent. WiVor may assign them in connection with a merger, financing, reorganization, sale of assets, or transfer of the Services, subject to applicable law. 25.3 Notices and electronic records. You consent to electronic communications, agreements, notices, tax records, and signatures. Notices to WiVor must be sent to [LEGAL NOTICE EMAIL/ADDRESS]; routine support requests go to [SUPPORT EMAIL]. 25.4 Entire agreement; order. These Terms, accepted Event Addenda, fee disclosures, and incorporated policies are the entire agreement regarding the Photographer relationship. An Event Addendum controls for that event only if it expressly identifies a conflicting provision. 25.5 Severability and waiver. If a provision is unenforceable, it will be enforced to the maximum lawful extent or severed without affecting the remainder. Failure to enforce is not a waiver. Headings are for convenience. 25.6 Force majeure. Neither party is liable for delay caused by events beyond reasonable control, excluding payment obligations for completed transactions and obligations that by nature must continue. 25.7 Contact. I confirm that I am at least 18, have authority to enter this agreement, own or control the rights needed for all Content I upload, and understand that I am an independent contractor and that my Content may be processed for facial search as described above.
